Lord Rothschild, a director of RIT Capital Partners plc ('RITCP'), today
advised the Company that on 7 January 2002 85,995 RITCP ordinary shares have
been transferred from a disclosable beneficial interest to a non-disclosable
non-beneficial interest at a price of £4.07 per share.

Following the above-mentioned transfer, Lord Rothschild's interests in RITCP
ordinary shares is as follows:

18,929,085 shares with a beneficial interest

6,439,934 shares with a non-beneficial interest
