Director Shareholding

Lord Rothschild, a director of RIT Capital Partners plc ('RITCP'), has today
advised the Company of the following events affecting his beneficial and
non-beneficial interests in the Company's ordinary shares:

2,444,202 shares (1.56% of issued) held in certain family discretionary
settlements have today been reclassified and added to the aggregate number of
shares held beneficially by Lord Rothschild. In each case Lord Rothschild is a
member of the class of beneficiaries who may, at the trustees' discretion, share
in the shares of the Company or the income therefrom.

Following the above, Lord Rothschild's interests in the ordinary shares of RITCP
comprise the following:

21,380,034 shares (13.63% of issued) held beneficially.

6,708,324 shares (4.28% of issued) held non-beneficially.
