VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6 the
Company notifies the market of the following:

As at 31 July 2007 the Company's share capital consists of 154,959,582 ordinary
shares of £1 each with voting rights.

The above figure of 154,959,582 ordinary shares may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, RIT
Capital Partners plc under the FSA's Disclosure and Transparency Rules.
