The following replaces the announcement released on 21 December 2007 under RNS
no. 4202K.

Paragraph 3 of the additional disclosures has been amended to disclose a holding
of ordinary shares of the Company held in a Self Invested Pension Plan of which
the director is beneficiary. The Plan is managed by an unconnected third party.
The holding subsisted prior to the date of the director's appointment, although
the director was unaware of it at that date.

Directorate

RIT Capital Partners plc is pleased to announce the appointment of John Cornish
as a Non-Executive Director of the Company, with effect from 1 January 2008. Mr
Cornish will be a member of the Company's Audit Committee and its Valuations
Committee.

Mr Cornish was a senior partner at Deloitte & Touche until his retirement in
2004, having lead its Investment Trust Industry Team since the late 1980s. He is
currently chairman of a public investment company, Framlington Innovative Growth
Trust PLC and director of three others. He is also the Honorary Treasurer of the
charitable foundation that provides funding for the benefit of the pupils of The
Royal Alexandra and Albert School, Reigate.

held in a Self Invested Pension Plan managed by an unconnected third party.
