Goldman Sachs International has, in respect of the shareholding in CMC Markets plc which is the subject of this internal transfer, agreed to be subject to the same lock-up restrictions (a 180 day lock-up from the date of admission) to which Goldman Sachs Strategic Investments (U.K.) Limited was subject in connection with the initial public offering of CMC Markets plc. These restrictions are contained in the underwriting agreement dated 26 January 2016, to which Goldman Sachs International has acceded with effect from 17 May 2016, and are described in the prospectus issued by CMC Markets plc dated 26 January 2016.
