2022 ZDP Class Meeting and 2024 ZDP Class Meeting

The Board of UIL Finance announced on 9 April 2021 that, following the adjournment of the 2022 and 2024 ZDP Class Meetings held earlier that day, the adjourned 2022 and 2024 ZDP Class Meetings would be held at Clarendon House, 2 Church Street, Hamilton HM 11, Bermuda at 9.05 a.m. and 9.10 a.m. respectively, Bermuda time, on 16 April 2021.

In light of Bermuda recently issuing a Stay at Home Order, the Board of UIL Finance announces that the 2022 and 2024 ZDP Class Meetings have been postponed, respectively, to 12:05 p.m. and 12:10 p.m. on 16 April 2021 and the venue for the Meetings has changed to Pirates Point, 8 Burgess Point Road, Warwick WK04, Bermuda. In light of the Stay at Home Order, 2022 and 2024 ZDP Shareholders should not attend the relevant Class Meeting in person.

The announcement on 9 April 2021 strongly encouraged ZDP Shareholders to register their votes in advance by completing and returning the relevant Forms of Proxy, appointing the chairman of the relevant Meeting as their proxy and confirmed that voting on the Resolutions will be conducted on a poll.
