On 28 June 2021, 3i Group plc (the "Company") was notified that on 28 June 2021 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 86,829 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award.

Also on 28 June 2021, 3i Group plc (the "Company") was notified that on 28 June 2021 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 39,467 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award and sold 18,596 of these shares at £11.9100 per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
