SSGA SPDR ETFs Europe II plc (the "Company")
CHANGES TO THE PROSPECTUS & SUPPLEMENTS
We are notifying to you as a Shareholder in the Company to advise you of changes being made in respect of the Company and its Funds, as summarised below.
· State Street Global Advisors is rationalising its legal entity footprint in the European Union, consolidating its EU operating model under a single legal entity, State Street Global Advisors Europe Limited ("SSGA Europe").
· As a result, the Company has made the following appointments:
o SSGA Europe as Management Company.
o SSGA Europe as Investment Manager to the Funds, replacing the current Investment Manager, State Street Global Advisors Limited ("SSGA Limited"). SSGA Europe will provide investment management services to the Funds and will appoint SSGA Limited as a Sub-Investment Manager in respect of certain Funds.
o Following a comprehensive review, the appointment of Sub-Investment Managers to the Funds has been revised and extended for a number of Funds, the updated details of which will be indicated in the Relevant Supplements. These Sub-Investment Managers include State Street Global Advisors Trust Company, State Street Global Advisors Limited and State Street Global Advisors Singapore Limited. In addition, SSGA Europe has established a Polish branch through which it may also provide these services.
The above changes will be effective from on or about 1st August 2021 or such later date as the Central Bank shall note the updated contractual documentation. You do not need to take any action in response to this notice and no Shareholder meeting or vote is required
For the Funds below the reduced TER figures, as advised to you in the Shareholder notice dated 2nd March 2021, which became applicable on 9th March 2021 will be reflected in updated Supplements.

Changes effective on or about 1st August 2021 or such later date as the Central Bank notes the revised contractual documentation (the "Effective Date")
It has been determined that State Street Global Advisors Trust Company shall be appointed as Sub-Investment Manager for the below named Fund from the Effective Date. This change is being made to allow for most efficient portfolio management for those securities traded locally out of the United States.

Availability of Prospectus & Supplements
The revised Prospectus and Supplements, will be available from 1 August 2021 or such later date as the Central Bank notes the revised Prospectus and Supplements, on www.ssga.com.
