NOTICE TO SHAREHOLDERS

11 February 2022

This is to inform the Shareholders of

·      Invesco EQQQ Nasdaq-100 UCITS ETF Acc (ISIN: IE00BFZXGZ54);

·      Invesco EQQQ Nasdaq-100 UCITS ETF Dist (ISIN: IE0032077012);

·      Invesco EQQQ Nasdaq-100 UCITS ETF EUR Hdg Acc (ISIN: IE00BYVTMS52);

·      Invesco EQQQ Nasdaq-100 UCITS ETF CHF Hdg Acc (ISIN: IE00BYVTMT69); and

·      Invesco EQQQ Nasdaq-100 UCITS ETF GBP Hdg Acc (ISIN: IE00BYVTMW98). (each a "Share Class", together the "Share Classes")

each a share class of Invesco EQQQ Nasdaq-100 UCITS ETF (the "Fund"), a sub-fund of Invesco Markets III plc (the "Company"), of the following change.

Change

In order to offer better primary market access to enhance the liquidity provisions of the Fund, the Directors have determined to reduce the minimum subscription and redemption amount, for both in kind and cash, from 25,000 Shares to 10,000 Shares for the Share Classes (the "Change").

The Change will take effect on 21 February 2022 and the Prospectus will be amended accordingly in due course to reflect the Change which will be available to Shareholders free of charge.

Should you wish to redeem your shareholding as a result of the Change, you may do so in accordance with the dealing provisions outlined in the Prospectus.

General

Shareholders may obtain the Prospectus, the key investor information document, the latest annual and semi- annual reports and copies of the constitution of the Company free of charge from the registered office of the Manager or the local representatives in the countries where the Company is registered and in Switzerland at BNP Paribas Securities Services, Paris, succursale de Zurich, Selnaustrasse 16, 8002 Zurich which is the Swiss representative and paying agent, as well as from the German information agent, Macard Stein & Co AG, Ballindamm 36, 20095 Hamburg, Germany and on the website of the Company - etf.invesco.com or - limited to the Prospectus, the key investor information documents - on the website of the relevant stock exchange where the Shares are listed (for Italy, on the website of Borsa Italiana S.p.a. www.borsaitaliana.it).

All capitalised terms used in this notice shall bear the same meaning as the capitalised and defined terms used in the Prospectus.
