DELISTING NOTICE

No Fund will be closed as a result of the Delisting- however Shareholders are strongly advised to consult their brokers or financial advisors on any necessary actions

Dear Shareholder,

SSGA SPDR ETFs Europe II plc (the "Company")

(the "Fund")

If you have sold or transferred all of your shares in the Fund, please pass this document at once to the stockbroker, bank or other agent through whom the sale or transfer was effected, for transmission to the purchaser or transferee as soon as possible

We are writing to you as a Shareholder in the Fund. We hereby give you notice that the Board of Directors of the Company have determined to delist the Fund from a certain exchange, as outlined in Appendix 1 (the "Delisting").  

The Delisting will take effect on the following dates or any such date as many be determined by the Board and notified in advance to you (the "Delisting Dates"):

-     In relation to Euronext Paris the Delisting will take effect on the 8 November 2024.          

The Delisting is on the recommendation of State Street Global Advisors Europe Limited, which acts as investment manager to the Funds (the "Investment Manager") and is in accordance with the terms of the Prospectus and the Company's memorandum and articles of association. Having consulted with the Investment Manager, the Directors are of the opinion that the Delisting is in the best interests of Shareholders of the Fund.

The Investment Manager is of the view that the Company should aim to list Shares on exchanges where there is sufficient demand, concentrated liquidity and where trades can be made with competitive spreads. In order to achieve this, the Directors and the Investment Manager regularly review the Shares available to investors and the exchanges on which they are listed.

Following a recent review, the Directors have decided to apply to delist the trading line of the Fund (see Appendix 1) in order to concentrate liquidity on a smaller number of exchanges and to reduce spreads rather than having listings on a larger number of exchanges with lower volumes. Maintaining listings which only have small volumes of trading can result in reduced liquidity at a higher price

At least one other listing on another European exchange will be maintained for this Fund. Details of the exchanges where listings will be maintained are set out in Appendix 1 under the heading 'Remaining Listings'. The Fund will not be closed as a result of the Delisting.

From the date of this letter up to (but excluding) the Delisting Date, you can continue to sell Shares in the Fund on the current exchange venues. Following the Delisting Date, you can continue to hold Shares in the Fund that have been delisted but you will no longer be able to sell those Shares on the exchanges from which they will be delisted. You will be able to sell those Shares on any of the other exchanges on which they remain listed but there may be additional costs associated with using another exchange. In view of the above, Shareholders are strongly advised to consult with their brokers or financial advisors on the options available to them and obtain the necessary advice.

You do not need to take any action in response to this notice and no Shareholder meeting or vote is required. You should consult your broker/advisor to discuss gaining access to alternative exchanges following the Delisting or whether it would be more appropriate for you to sell your holding prior to the Delisting Date.

It should be noted that the Delisting applies to the stated Fund and exchange only and does not affect shareholdings in any other sub-funds of the Company.
