NOTICE TO SHAREHOLDERS

Dear Shareholder,

SSGA SPDR ETFs Europe II plc (the "Company")

(the "Funds")

We are writing to you as a Shareholder of the Company to advise the following changes which will take effect from 24 March 2025, or such later date as the Central Bank notes the revised Supplements to the Prospectus for the Funds (the "Effective Date").

1.   Index related changes

On 10 January 2025, S&P Dow Jones Indices, the Funds' Index Provider, announced changes to the constituent weightings rules of the Funds' indices (i.e. S&P Select Sector Daily Capped 25/20 Indices) to adjust the daily capping rules as follows:

i)          The indices will use a more relaxed cap on the largest constituent - changing from 23% under  current methodology to 33% under the new methodology, and

ii)          The indices will no longer cap the sum of the companies with weights greater than 4.8% at 50% of the total index weight.

The Index Provider has also announced Index Names changes as reflected in the table below.  The index identifiers will remain the same.

2.   Availability of Supplements
