CHANGES TO THE PROSPECTUS

Dear Shareholder,

SSGA SPDR ETFs Europe II plc (the "Company")

We are writing to you as a Shareholder of the Company to advise of the following changes to the Prospectus which will take effect on 1 April 2025 (the "Effective Date") or such later date as the Prospectus is noted by the Central Bank of Ireland.

1.    Sustainability Stewardship Service / Policy

The Asset Stewardship section of the Prospectus has been amended to reflect the adoption of the Sustainability Stewardship Service Proxy Voting and Engagement Policy in place of the SSGA Proxy Voting Policy, the adoption of which has been approved by the Company's board of directors. The Sustainability Stewardship Service Proxy Voting and Engagement Policy, which is available at https://www.ssga.com/library-content/assets/pdf/global/asset-stewardship/sustainability-stewardship-service-proxy-voting-and-engagement-policy.pdf, focuses on risks and opportunities that may impact long-term value creation, with a focus on sustainability priorities such as climate change, nature and human rights.

2.   Screening Risk Disclosure

       The Screened Indices Risk/Screening Risk disclosure has been amended to elaborate on the risks.

3.   Changes to the Directors' details

Availability of Prospectus

The revised Prospectus will be available from the Effective Date, on www.ssga.com.
