Merger Update: SMFL / Macquarie Rotorcraft Limited

Announcement of Initial Enforcement Order: acquisition by SMFL LCI Helicopters UK Limited of Macquarie Rotorcraft Limited Business

The CMA has reasonable grounds to believe that the Parties will complete the Merger. Therefore, on 15 May 2025, the CMA served an initial enforcement order under section 72(2) of the Enterprise Act 2002 on Sumitomo Mitsui Financial Group Inc., (SMFG), Sumitomo Corporation (SC), Sumitomo Mitsui Finance & Leasing Co. Limited (SMFL), SMFL LCI Helicopters UK Limited (SMFLH), and Macquarie Rotorcraft Limited (MRL).

The initial enforcement order will take effect upon completion of the Merger.
