Capitalised terms used herein shall bear the same meaning as defined in the prospectus of Global X ETFs ICAV (the "ICAV") dated 26 March 2025 (the "Prospectus"), and the supplements in respect of the sub-funds referred to below (the "Supplements"). Copies of the Prospectus and Supplements are available upon request during normal business hours from the registered office of the ICAV.

RE:      Change of Investment Manager and Sub-Investment Manager in respect of the Funds and amendment to fee structure of the ICAV

Dear Shareholder

The ICAV is authorised by the Central Bank pursuant to the European Communities (Undertakings for Collective Investment in Transferable Securities) Regulations 2011, as amended.

We are writing to advise you of the following upcoming changes in respect of the sub-funds of the ICAV (the "Funds") listed in Appendix 1:

1.         the change of the investment manager of the Funds from Global X Management Company LLC to Global X Management Company (UK) Limited (the "New Investment Manager"); and

2.         the change of sub-investment manager for the Funds from Global X Management Company (UK) Limited to Global X Management Company LLC (the "New Sub-Investment Manager").

It is intended to align the fee structure to reflect these changes and the central role of Global X Management Company (Europe) Limited (the "Management Company").  It is therefore proposed to update the Prospectus to reflect that the ICAV pays any excess from the total expense ratio ("TER") of the ICAV to the Management Company, rather than the previous arrangement of paying this to the investment manager, and to reflect that the Management Company will discharge the investment management fee.

It is proposed that the Prospectus and the Supplements be updated to reflect the proposed change of investment manager and the fee structure, which is expected to take effect on or around 30 June 2026 (the "Effective Date").

The rationale for the foregoing changes is to better align with the fact that the New Investment Manager will be the lead investment manager for all jurisdictions for the ICAV, delegating to the New Sub-Investment Manager for jurisdictions where its expertise is best used.

The Directors believe the foregoing changes are in the best interests of Shareholders. For the avoidance of doubt, your existing investment in the Funds will not be affected by the changes.
