Admission of New Ordinary Shares and Total Voting Rights
Further to Bridgepoint's announcement on 20 August 2024 in connection with the closing of the transaction pursuant to which the Company has added Energy Capital Partners Holdings, LP and affiliated entities to its platform and the proposed issue of 27,103,568 Bridgepoint Shares (the "New Ordinary Shares"), the Company announces that the New Ordinary Shares have today been admitted to the Official List and to trading on the London Stock Exchange's Main Market for listed securities.
In conformity with the Financial Conduct Authority's Disclosure and Transparency Rules, Bridgepoint announces that its total issued share capital following the issue of the New Ordinary Shares comprises:

819,507,873 ordinary shares of £0.00005 each with voting rights; and |

500 deferred shares of £81 each, 1 deferred share of £1, and 1 deferred share of £0.01, each with no voting rights. |
Bridgepoint holds no shares in treasury.
The total number of voting rights in the Company is therefore 819,507,873, and this figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, Bridgepoint under the Disclosure Guidance and Transparency Rules.
