Any and all |
Background on the Offeror
The Notes were issued by the Offeror on 18 April 2024. At a general meeting of the Offeror held on 2 October 2026, the Offeror was re-registered as a private limited company and so is now known as Schroders Limited rather than Schroders plc. This re-registration did not change the terms of the Notes.
Rationale for the Offer
On 1 October 2026, Pantheon, LLC (a wholly owned subsidiary of Nuveen, LLC) completed its acquisition of the entire issued and to be issued share capital of the Offeror (the “Acquisition”). The Offer is intended to simplify the capital structure of the Offeror following the Acquisition.
The Offeror intends to surrender Notes purchased pursuant to the Offer for cancellation.
Clean-up Call Intention
Pursuant to the terms and conditions of the Notes, the Offeror may elect to redeem all (but not some only) of the Notes early at par (plus applicable accrued and unpaid interest) if 75 per cent. or more of the outstanding principal amount of the Notes originally issued have been purchased and subsequently cancelled at the time of such election, subject to the Offeror having given the Noteholders not less than 15 nor more than 60 days' notice of such redemption.
As at the date of this announcement, it is the intention of the Offeror to exercise this option if the 75 per cent. threshold is met following completion of the Offer. However, there can be no assurance whether such threshold will be met or not, or in the event such threshold is met, as to whether or when the Offeror will choose to exercise its option to redeem the outstanding Notes. Any future decision by the Offeror to redeem the outstanding Notes will depend on various factors existing at that time.
See "Risk Factors and Other Considerations – Clean-up Call" in the Tender Offer Memorandum.
Purchase Price and Accrued Interest Payment
The Offeror will, on the Settlement Date, pay for Notes validly tendered and accepted by it for purchase pursuant to the Offer, a cash purchase price (the "Purchase Price") equal to the higher of (a) 100 per cent. of the nominal amount of such Notes and (b) the price determined by the Offeror (in consultation with the Joint Dealer Managers) at or around 10.00 a.m. (London time) (the "Pricing Time") on 6 November 2026 (the "Pricing Date") by reference to the sum (such sum, the "Purchase Yield") of:
The price referred to in (b) above will be determined in accordance with market convention and expressed as a percentage of the nominal amount of the Notes accepted for purchase pursuant to the Offer (rounded to the nearest 0.001 per cent., with 0.0005 per cent. rounded upwards) and is intended to reflect a yield to the first call date of the Notes on the Settlement Date based on the Purchase Yield. Specifically, the price will equal (i) the value of all remaining payments of nominal and interest on the Notes up to and including 18 April 2029, discounted to the Settlement Date at a discount rate equal to the Purchase Yield minus (ii) Accrued Interest in respect of the Notes.
The Offeror will, on the Settlement Date, also pay an Accrued Interest Payment in respect of any Notes validly tendered and accepted for purchase by it pursuant to the Offer.
No Pro Rata Scaling
If the Offeror decides to accept valid tenders of Notes for purchase pursuant to the Offer, it intends to accept for purchase all of the Notes that are validly tendered in full, with no pro rata scaling, subject to the conditions set out in the Tender Offer Memorandum.
Announcement of Results and Pricing
The Offeror will announce, as soon as reasonably practicable after the Pricing Time on the Pricing Date, its decision of whether to accept valid tenders of Notes pursuant to the Offer and, if so accepted: (i) the aggregate nominal amount of Notes accepted for purchase pursuant to the Offer; (ii) the Benchmark Security Rate, the Purchase Yield and the Purchase Price; and (iii) the aggregate nominal amount of Notes that will remain outstanding after the Settlement Date.
See "Further Information and Terms and Conditions – Announcements” in the Tender Offer Memorandum.
General
The settlement date for the Offer is expected to be 10 November 2026 (the “Settlement Date”).
The Offeror is not under any obligation to accept for purchase any Notes tendered pursuant to the Offer. The acceptance for purchase by the Offeror of Notes validly tendered pursuant to the Offer is at the sole and absolute discretion of the Offeror, and tenders may be rejected by the Offeror for any reason.
For further information on the Offer and the further terms and conditions on which the Offer is made, Noteholders should refer to "Further Information and Terms and Conditions” in the Tender Offer Memorandum.
Tender Instructions
In order to participate in, and be eligible to receive the Purchase Price and the Accrued Interest Payment pursuant to, the Offer, Noteholders must validly tender their Notes for purchase by delivering, or arranging to have delivered on their behalf, a valid Tender Instruction that is received by the Tender Agent by 4.00 p.m. (London time) on 5 November 2026 (the "Expiration Deadline"), unless extended, re-opened, amended and/or terminated at the sole and absolute discretion of the Offeror as provided in the Tender Offer Memorandum.
Noteholders are advised to check with any bank, securities broker or other intermediary through which they hold Notes when such intermediary would need to receive instructions from a Noteholder in order for that Noteholder to be able to participate in, or (in the limited circumstances in which revocation is permitted) revoke their instruction to participate in, the Offer by the deadlines specified below and in the Tender Offer Memorandum. The deadlines set by any such intermediary and each Clearing System for the submission and revocation of Tender Instructions will be earlier than the relevant deadlines specified below and in the Tender Offer Memorandum.
Tender Instructions will be irrevocable except in the limited circumstances described in the Tender Offer Memorandum.
Tender Instructions must be submitted in respect of a minimum nominal amount of Notes of no less than £100,000, being the minimum denomination of the Notes, and may be submitted in integral multiples of £1,000 thereafter.
