London, United Kingdom; Calgary, Canada: March 7, 2023 - Canadian Overseas Petroleum Limited ("COPL" or the "Company") (XOP: CSE) & (COPL: LSE), an international oil and gas exploration, production and development company with production and development operations focused in Converse and Natrona Counties, Wyoming, USA, has issued 1,263,423 common shares (the "Shares") on March 6, 2023 pursuant to a conversion of $200,000 principal of 2025 Bond by one Bondholder of the July 2022 Bond Issue.

Following this conversion, a total of twenty 2025 Bonds have had their principal amount converted into Shares. 

2025 Convertible Bonds principal amount outstanding: $8.6 million (43 bonds)

2025 Bondholders: 3

In addition, on March 6, 2023, the Company issued 1,923,980 Shares pursuant to the share settlement option exercised by a Bondholder for settlement of $0.14 million of Conversion Payment amount (and related accrued interest) due in respect of one converted 2025 Bond.  The number of Shares issued for settlement of this Conversion Payment is based on the lowest 5-day VWAP following election of the share settlement option for the Conversion Payments. 

Applications will be made to the FCA for these Shares to be admitted to the Official List and to the London Stock Exchange for the Shares to be admitted to trading on the London Stock Exchange's main market for listed securities within the next twelve months, in accordance with Listing Rule 14.3.4.

Following these issues of Shares the Company has a total of 316,284,299 Shares issued and outstanding. There are no Shares held in treasury and therefore the total number of voting rights in the Company is 316,284,299. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
