Approval of Director's Appointment Qualification

APPROVAL OF DIRECTOR'S APPOINTMENT QUALIFICATION

References are made to the notice of the 2022 AGM (the "Notice") of China Pacific Insurance (Group) Co., Ltd. (the "Company" or "CPIC") dated 21 April 2023 and the announcement on poll results for the 2022 AGM of the Company dated 26 May 2023. Capitalised terms used herein shall have the same meanings as those defined in the Notice unless otherwise specified. The Company elected Ms. LO Yuen Man, Elaine as an independent non-executive director of the Company at the 2022 AGM held on 26 May 2023, with a term of office until the expiry of the 9th Board of Directors of the Company, and her appointment qualification is subject to the approval of the National Financial Regulatory Administration (formerly known as the China Banking and Insurance Regulatory Commission).

The Board is pleased to announce that the Company has recently received the "Approval of appointment qualification of LO Yuen Man, Elaine of China Pacific Insurance (Group) Co., Ltd." (Jin Fu [2023] No. 141) issued by the National Financial Regulatory Administration. The National Financial Regulatory Administration has approved the appointment qualification of Ms. LO Yuen Man, Elaine as an independent director of the Company.

The term of office of Ms. LO Yuen Man, Elaine as an independent director of the Company became effective on 18 July 2023.

RESIGNATION OF DIRECTOR

Reference is made to the announcement of the Company dated 24 March 2023 in relation to the resignation of Mr. WOO Ka Biu, Jackson as an independent non-executive director of the Company. The resignation of Mr. WOO from his position as independent non-executive director and member of the Audit Committee and the Risk Management and Related Party Transaction Control Committee under the Board of the Company took effect from 18 July 2023. Mr. WOO Ka Biu, Jackson has confirmed that he has no disagreement with the Board of the Company and that there is no matter in respect of his resignation that needs to be brought to the attention of the shareholders of the Company.
