Issue of Equity
CVC Income & Growth Limited (the Company) announces that on 27 May 2026, it resold from treasury 300,000 Sterling shares for cash at a price of £1.1498 per Sterling share and 200,000 Euro shares for cash at a price of €1.0533 per Euro share to meet on-going demand for the Company's shares.
Following this issue, the Company's issued share capital (excluding treasury shares) will consist of:

· 193,555,993 ordinary Sterling shares of no par value; and |
|
· 83,990,791 ordinary Euro shares of no par value. |
Each ordinary Sterling share carries the right to 1.17 vote and each ordinary Euro share carries the right to 1 vote.
The total number of voting rights of the ordinary Sterling shares of no par value is 226,460,511 and of the ordinary Euro shares of no par value is 83,990,791. The total number of voting rights in the Company will be 310,451,302.
The Company will hold the following ordinary shares in treasury:

· 178,453,766 ordinary Sterling shares of no par value (non-voting); and |
|
· 58,109,884 ordinary Euro shares of no par value (non-voting). |
The figure, 310,451,302 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in or a change to their interest in the company under the FCA's Disclosure Guidance and Transparency Rules.
