At Dish TV India Limited's 34th Annual General Meeting on September 26, 2022, Mr. Bhagwan Das Narang ceased to be an Independent Director upon completion of his second term, and Mr. Rakesh Mohan vacated his Independent Director office based on shareholder votes. Shareholders also did not approve the appointment of S.N. Dhawan & Co. as Statutory Auditors with requisite majority. Consequently, Walker Chandiok & Co LLP will continue as the company's Statutory Auditors.

Subject: Change in Board and update on Statutory Auditors of the Company.
Dear Sir/Madam,
We wish to inform you that at the 34th Annual General Meeting ("AGM") of Company held on September 26, 2022, the following changes took place in the Company today:
1. Mr. Bhagwan Das Narang (DIN: 00826573), ceases to be the Independent Director of the Company, upon completion of his second term; and
2. Basis the votes casted by the shareholders at the AGM, Mr. Rakesh Mohan (DIN - 07352915) vacates office of Independent Director of the Company.
Further, basis the votes cast by the shareholders at the AGM, the appointment of S.N. Dhawan & Co. Chartered Accountants (Firm Registration Number: 000050N / N500045) as Statutory Auditors of the Company, has not been approved with requisite majority. Accordingly, in terms of Section 139 (10) of the Companies Act, 2013, Walker Chandiok & Co LLP, Chartered Accountants, (Firm Registration No. 001076N/N-500013), the existing Auditor of the Company, shall continue as Statutory Auditors of the Company.
