Transaction in Own Shares

Man Group plc (the "Company") announces that from 08 June 2026 to 12 June 2026, it purchased the following number of ordinary shares of 3 3/7 US cents each through Barclays Capital Securities Limited as part of its US$50 million share repurchase programme announced on 12 May 2026 (the "Programme"). All shares were purchased by Barclays Capital Securities Limited as an "on exchange" transaction subject to the rules of the London Stock Exchange.

The Company intends to hold the purchased shares in treasury. Following the settlement of the above purchases, the Company will have 1,149,511,110 ordinary shares in issue (excluding treasury shares) and 79,850,119 ordinary shares in treasury. The total number of voting rights in the Company will therefore be 1,149,511,110. This figure takes into account the transfer from treasury of 1,343 ordinary shares on 09 June 2026 in order to satisfy the exercise of options under the Company's Sharesave Scheme. To date, the Company has purchased 3,218,993 ordinary shares in aggregate through Barclays Bank PLC in accordance with the Programme.                                                                                                                                                                         

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 as incorporated into and implemented under English law (including by virtue of the European Union (Withdrawal) Act 2018), the detailed breakdown of individual trades made by Barclays Capital Securities Limited on behalf of the Company as part of the share buyback programme is set out below.
