on capital increase

In accordance with the extraordinary disclosure obligation stipulated under Section 55 of (Hungarian) Act CXX of 2001 on the Capital Market, MFB Hungarian Development Bank Private Limited Company (hereinafter: MFB Zrt.; or the Company) informs its investors of the following changes:

By issuing the Founder's resolution No. 17/2026. (VII.30.) the exerciser of the ownership rights over MFB Zrt. acting in accordance with its authority stipulated under point 8.2.(j) of the Articles of Association of MFB Zrt ordered to increase the share capital of MFB Zrt. by HUF 644 978 525 135 (six hundred and forty-four billion, nine hundred and seventy-eight million, five hundred and twenty-five thousand, one hundred and thirty-five Hungarian Forints) to be paid in in by cash contribution.

Based on the above-mentioned Founder's resolution the share capital of MFB Zrt. was increased by HUF 230 billion and 100 million (two hundred and thirty billion one hundred million Hungarian Forints) paid in by cash contribution. As a result of the capital increase, the share capital of MFB Zrt. is HUF 750 billion (seven hundred and fifty billion Hungarian Forints).

The capital increase was carried out by the Minister exercising the ownership rights over MFB Zrt, by way of payment of cash contribution in the amount of HUF 644 978 525 135 (six hundred and forty-four billion, nine hundred and seventy-eight million, five hundred and twenty-five thousand, one hundred and thirty-five Hungarian Forints) to the bank account of MFB Zrt. held with the Central Bank of Hungary.
