Frasers Group PLC announced on 15 December 2025 that it has entered an arrangement with Barclays Bank PLC. This arrangement permits Barclays to purchase up to 10,000,000 ordinary shares in Frasers Group PLC on its behalf, with an aggregate purchase price not exceeding £70,000,000, between the announcement date and 24 April 2026. FRASERS GROUP PLC - PURCHASES OF SHARES DURING OPEN PERIODS
Frasers Group plc (the "Company") announces that it has entered into an arrangement with Barclays Bank PLC, acting through its investment bank ("Barclays"). The arrangement allows Barclays to purchase up to 10,000,000 ordinary shares in the Company during open periods of the Company arising between the date hereof and 24 April 2026. These share purchases will be made on the Company's behalf and in accordance with the arrangement.
Any share purchases effected pursuant to the arrangement will be subject to the terms of the arrangement with Barclays and in any case will be effected in a manner consistent with both the general authority vested in the Company to repurchase shares and the UK Listing Rules. The aggregate purchase price under this arrangement will not exceed £70,000,000.
Following the purchase of the Shares, they will be placed into treasury. The sole purpose of these share purchases is to reduce the Company's share capital.
