FRASERS GROUP PLC - PURCHASES OF OWN SHARES

Frasers Group plc (the "Company") announces that it has entered into an arrangement with Panmure Liberum Limited ("Panmure Liberum") to conduct a share buyback programme on its behalf.

This arrangement is made under the authority granted at the Company's last annual general meeting ("AGM") on 16 September 2026 which authorised the Company to make market purchases up to a maximum aggregate of 67,065,265 ordinary shares in the Company. The limits for this arrangement with Panmure Liberum set out below ensure that purchases shall remain within the existing authority.

The arrangement allows Panmure Liberum to purchase up to 10,000,000 ordinary shares of 10 pence each in the Company between the date hereof and the trading day immediately prior to commencement of the next closed period for the Company, expected to commence early November 2026.. These share purchases will be made on the Company's behalf and in accordance with the arrangement.

Any share purchases effected pursuant to the arrangement will be subject to the terms of the engagement with Panmure Liberum and in any case will be effected in a manner consistent with both the general authority vested in the Company to repurchase shares and the UK Listing Rules. The aggregate purchase price under this arrangement will not exceed £80,000,000.

Following the purchase of the shares, they will be placed into treasury. The sole purpose of these share purchases is to reduce the Company's share capital.
