On 25 February 2025, Ground Rents Income Fund plc (GRIO) announced that Victoria Property confirmed on 24 February 2025 its intention not to make a firm offer for GRIO. As a result, GRIO is no longer in an "offer period" as defined by the City Code on Takeovers and Mergers, and Rule 8 disclosure requirements are no longer applicable. GRIO and its advisers remain committed to implementing a strategy approved by GRIO shareholders in November 2024.

END OF OFFER PERIOD
Ground Rents Income Fund plc acknowledges Victoria Property's announcement on 24 February 2025, confirming that it does not intend to make a firm offer for the Company.
GRIO and its advisers remain fully committed to implementing the strategy approved, and recently re-endorsed, by GRIO shareholders in November 2024.
The Company is no longer in an "offer period" as defined by the City Code on Takeovers and Mergers (the "Takeover Code") and the disclosure requirements pursuant to Rule 8 of the Takeover Code are no longer applicable.
