On 28 June 2022, 3i Group plc (the "Company") was notified that on 28 June 2022 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 43,414 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award.

Also on 28 June 2022, 3i Group plc (the "Company") was notified that on 28 June 2022 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 19,734 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award and sold 9,550 of these shares at £11.1850 per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
