Indivior PLC - Committee Change
The Board of Directors of Indivior PLC notes that a number of proxy agencies have recommended a vote against the reappointment of Jerome Lande as a Director at the forthcoming Annual General Meeting. The Board understands that this is because Mr Lande is a member of the Audit Committee but is not considered independent. Mr Lande is not considered independent for the purposes of the UK Corporate Governance Code because he is the Representative Director of Scopia Capital Management LP, who are a significant shareholder of the Group.
In response to this concern, Mr Lande has advised the Board that he will step down as a member of the Audit Committee with immediate effect.
This announcement is made in accordance with Listing Rule 9.6.11.
