Resignation of Auditor 

Mountview Estates P.L.C. announces that, following the acquisition of the business of BSG Valentine (UK) LLP ("BSG Valentine") by TC Group Holdings Limited ("TC Group"), BSG Valentine has resigned as the Company's independent auditor with immediate effect. TC Group has taken the strategic decision not to register with the Financial Reporting Council as an eligible auditor to undertake Public Interest Entity audits.

In accordance with s. 519 Companies Act 2006, BSG Valentine made the following statements:

·    BSG Valentine has resigned as auditor with immediate effect on the grounds that the firm will no longer be registered to carry out audit work following the acquisition of its business by TC Group, which has its own audit registration. TC Group has taken the strategic decision not to register its audit registered firm with the Financial Reporting Council as an eligible auditor to undertake Public Interest Entity audits; and

·   there are no circumstances connected with our resignation which we consider should be brought to the attention of the members or creditors of the Company.

The Board of Mountview would like to thank BSG Valentine for their significant contribution as the Company's auditors throughout the years.

The process to appoint a new independent auditor for the Company is already underway and further announcements will be made in due course.

This appointment remains subject to approval by shareholders at the next Annual General Meeting of the Company.
