Newbury Racecourse PLC announced on 17 February 2026 that it was notified on 16 February 2026 of a change in ownership for its largest shareholder, Compton Beauchamp Estates Limited (CBEL). On 25 November 2025, Erik Penser transferred his shares in CBEL for nil consideration to his three adult children. As a result, non-executive director Sophia Watson now holds 51% of CBEL and is deemed to have a beneficial interest in CBEL's 1,370,400 Newbury Racecourse shares, representing 40.93% of the Company's issued share capital, while CBEL's direct shareholding in Newbury Racecourse PLC remains unchanged.

Change of ownership in substantial shareholder
On 16 February 2026 the Company was notified that the ownership of its largest shareholder, Compton Beauchamp Estates Limited ("CBEL") has changed. CBEL currently holds 1,370,400 shares in the Company, representing 40.93% of the Company's issued share capital.
On 25 November 2025 Erik Penser, the sole shareholder of CBEL at the time, transferred for nil consideration, all his shares in CBEL to his three adult children. As a consequence, Sophia Watson, a non-executive director of the Company and Erik Penser's daughter now owns 51% of the shares of CBEL. The remaining 49% of the shares of CBEL are equally held by Sophia's two siblings.
As Sophia Watson owns more than 50% of the shares of CBEL she is now deemed to have a beneficially interest of 1,370,400 shares in the Company, representing 40.93% of the Company's issued share capital.
CBEL's shareholding in the Company remains unchanged.
