Total Voting Rights

In accordance with the FCA Disclosure Guidance and Transparency Rules, the Company would like to notify the market of the following: as at 30 April 2022, the Company's issued share capital consisted of 164,765,229 B Ordinary Shares with voting rights. The Company does not hold any shares in Treasury.

Therefore, the issued share capital and total number of voting rights of the Company are 164,765,229. This figure may be used by the Company's shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, Pembroke VCT plc under the FCA Disclosure Guidance and Transparency Rules.
