Exercise of Share Options and Issue of New Ordinary Shares

Pursuant to the exercise of options under the Pod Point IPO Share Plan, the Company confirms that application has been made to the London Stock Exchange and the Financial Conduct Authority for the admission of 2,394 new ordinary shares of £0.001 each in the Company ("Shares") to trading on the Main Market of the London Stock Exchange. Admission is expected to take place on or about 7 September 2022.

Following the anticipated admission of the Shares, the total number of Shares in issue will be 153,954,931 with each share carrying the right to one vote. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
