Completion of Acquisition, Issue of Shares and TVR

Public Policy Holding Company, Inc., (Nasdaq: PPHC) (AIM: PPHC), a leading global strategic communications provider offering a comprehensive range of advisory services in the areas of Government Relations, Public Affairs and Corporate Communications, is pleased to announce the successful completion of its acquisition of Westminster Policy Partners Limited ("WPI Strategy"), announced on 23 March 2026, a leading UK public affairs and economics consultancy (the "Acquisition"). As previously announced, WPI Strategy has become part of Pagefield Group, PPHC's London-based strategic communications subsidiary.

The Acquisition advances PPHC's long-standing objective of building a portfolio of complementary strategic communications businesses. WPI Strategy brings a differentiated research-driven advocacy model combining policy advisory, economic modelling, impact analysis, and communications strategy grounded in quantitative evidence, and enhances PPHC's footprint and depth in the UK and Europe.

Issue of Consideration Shares and Total Voting Rights

As part of the initial consideration payable, 46,937 New Common Shares ("Consideration Shares") have been issued to the sellers. Application has been made for the Consideration Shares, which will rank pari passu with the existing Common Shares in issue, to be admitted to trading on AIM. Dealings are expected to commence on or around 8 April 2026. Following the issue of the Consideration Shares, the Company's total issued and voting share capital upon admission will consist of 28,975,714 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
