Delay in publication of the FY25 Annual Report and Accounts and H1 2026 Interim Results, Strategic Update

SYME, the fintech business which provides an innovative fintech platform (the "Platform") for use by manufacturing and trading companies to access Inventory Monetisation© ("IM") solutions enabling their businesses to generate cashflow, provides the following update with respect to the delay in the publication of i) the Annual Report and Accounts for the year ended 31 December 2025 (the "FY25 Annual Report and Accounts") and ii) the unaudited interim results for the six months ended 30 June 2026 (the "H1 2026 Interim Results"), and the strategic repositioning project for which the latest details were set out in the Company's announcement dated 22 September 2026.

The Company previously announced on 22 September 2026 that it had agreed final drafts of the definitive documentation relating to the proposed strategic acquisitions from Société Financière Européenne SA ("SFE") and the proposed corporate and transaction-level funding, including a new convertible loan agreement with SFE Equity Investments SARL ("SFE EI"), a securitisation entity fully controlled by SFE, which will allow the Group to move forward and progress with the proposed strategic acquisitions.

The proposed strategic acquisitions include:

a)   the inventory ownership business which comprises independent stock companies (together, the "Stock Companies"), together with the relevant contractual arrangements, intellectual property rights and operating infrastructure used by the Stock Companies in connection with the inventory ownership business (together, the "IOB");

b)   an Italian regulated credit intermediation business (which operates under the supervision of the OAM (Organismo Agenti e Mediatori)); and

c)   certain inventory monetisation funding know-how relating to relevant financing structures.

It was also announced on the 22 September 2026 that the Board of Directors of the Company is awaiting confirmation from SFE EI as to the availability of the funds, that it has committed to provide to the Company under the new proposed convertible loan note agreement, before it fully executes the full suite of definitive documents referred to above, receives the committed funding amount from SFE EI, and together with Bright Grahame Murray completes the remaining audit procedures in respect of the financial statements for the year ended 31 December 2025 to allow the publication of the FY25 Annual Report and Accounts followed by the H1 2026 Interim Results.

At the date of this announcement, the Board provides the following updates:

a)   SFE EI have confirmed its intention to proceed with the proposed strategic acquisitions and proposed corporate and transaction-level funding.

b)   SFE EI has also confirmed that it has secured investor commitments needed to provide the funds committed to the Company under the new proposed convertible loan note agreement. However, the Board of Directors of the Company understands that SFE EI requires additional time to complete the processes and procedures related to the cash receipt of the investor commitments. This would then enable SFE EI to provide confirmation to the Company as to the availability of the funds under the new proposed convertible loan note agreement and to execute the full suite of definitive documents referred to above.

c)   The receipt of the funds under the new proposed convertible loan note agreement is essential for securing the financial position of the Company and execution of the proposed strategic acquisitions as a first step to the overall strategic repositioning project.

d)   As a result of this delay, the Company will not be able to publish the FY25 Annual Report and Accounts, followed by the H1 2026 Interim Results, by the end of October 2026. As the Company's shares will then have been suspended for more than six months, the Company, in accordance with the UK Listing Rule 21.1.5, has contacted with the Financial Conduct Authority to confirm its intention to publish the FY25 Annual Report and Accounts and the H1 2026 Interim Results as soon as possible and seek restoration to trading shortly thereafter.

Further announcements will be made as appropriate.

For the purposes of UK MAR, the person responsible for arranging release of this announcement on behalf of SYME is Alessandro Zamboni, CEO.

Notes:

SYME and its operating subsidiaries provide its Platform for use by manufacturing and trading companies to access inventory trade solutions enabling their businesses to generate cashflow, via a non-credit approach and without incurring debt. This is achieved by their existing eligible inventory being added to the Platform and then monetised via purchase by third party inventory funders. The inventory to be monetised can include warehouse goods waiting to be sold to end-customers or goods/commodities that are part of a typical import/export transaction.
