CLN Conversion and Issue of Advisor Equity

Total Graphite plc (TGR.L), the specialist flake graphite company developing an integrated graphite mine-to-materials supply chain for the global energy transition, announces the issue of 5,958,863 new ordinary shares ("Shares") in respect of the conversion of 2022 CLNs and to advisors.

The Shares issued comprise:

·    4,397,000 Shares issued at 1.5p to an advisor in lieu of commissions owed for fundraising activity.

·    1,561,863 ordinary shares issued at 3.75p for conversion of £50,000 CLN 2022 Notes and related accrued interest following receipt of a noteholder's conversion notice.

Application will be made for the Shares to be admitted to trading on the London Stock Exchange's Main Market for listed securities ("Admission"), which is expected to occur on or around 28 July 2026.

Total Voting Rights

The Company hereby notifies the market, in accordance with the FCA's Disclosure Guidance and Transparency Rule, that on Admission, the Company's issued share capital will consist of 768,406,787 ordinary shares, each with one vote. The Company does not hold any ordinary shares in Treasury. On Admission, the total number of voting rights in the Company will be 768,406,787 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
