Accession of Additional Guarantor

With effect from 30 July 2025, Flagship Housing Limited (FHL) has acceded as an Additional Guarantor to the Issuer's £1,500,000,000 Guaranteed Note Programme.

FHL will guarantee the performance by the Issuer of all the Issuer's obligations under the Programme and the Notes issued thereunder (including the Existing Notes) alongside the Initial Guarantors under the Programme, Bromford Housing Association Limited and Merlin Housing Society Limited.

FHL is a wholly owned subsidiary of the Issuer, a charitable community benefit society under the Co-operative and Community Benefit Societies Act 2014 with registered number 31211R and registered with the Regulator of Social Housing as a not for profit registered provider of social housing with registered number 4651.
