Kazera Global plc

("Kazera" or the "Company")

2A Mining Right Granted

Mining Right opens path to development of 2A with SAI

Kazera Global plc (AIM: KZG), the AIM-quoted investment company, is delighted to announce that, following consideration by the Regional Mining Development and Environmental Committee ("REMDEC"), the South African Department of Mineral Resources and Energy ("DMRE") has formally approved the application by the Company's wholly owned subsidiary, Whale Head Minerals (Pty) Ltd ("WHM"), for a Mining Right over Sea Concession 2A ("2A"), located in the Northern Cape, South Africa.

The granting of the 2A Mining Right represents the fulfilment of one of the key strategic objectives that was outlined by the new Kazera board in April 2026 and represents a transformational development for Kazera's Heavy Mineral Sands ("HMS") business. 2A underpins the HMS resource base which will be mined and processed on Kazera's behalf under the previously announced strategic partnership with South Africa AT Investments (Pty) Ltd ("SAI").

Receipt of the granting letter also represents an important milestone under the Company's arrangements with SAI. Following formal execution of the Mining Right, a further US$1.75 million will become payable to WHM and SAI will expand its joint operations into 2A.

The Company is working closely with SAI to ensure timely operational delivery, with commercial production targeted for Q1 2027 and production ramping up to an anticipated minimum of 10,000 tonnes per month of concentrate by Q2 2027. The Company is also pleased to report in this regard that SAI has already commenced the shipment of 30 containers of equipment from China required for the construction phase.

Key Points

Working alongside SAI and its Chinese industrial partner, Xiamen Antai Zirconium, Kazera's ambition extends considerably beyond the establishment of an initial mining operation. The parties intend to pursue the phased development of 2A into a large-scale, long-life industrial HMS operation, with the potential for substantially greater mining and processing capacity over time.

Richard Jennings, Chief Executive Officer, commented: "The approval of the Mining Right for 2A represents the most significant milestone in Kazera's history and marks the beginning of an extremely exciting new chapter for the Company.

"This achievement is the culmination of a number of years of technical work, environmental studies, regulatory engagement and considerable perseverance by our team and advisers. I would like to thank everyone involved for their commitment in reaching this important milestone.

"Most importantly, the Mining Right gives us the regulatory platform to begin unlocking the potential of an asset whose scale and quality have now been much more clearly demonstrated by the recent Technical Report. The findings of that report reinforce our belief that 2A has the potential to become a highly significant project for Kazera and for the Northern Cape.

"Our ambition is to pursue the phased development of 2A into a large-scale, long-life industrial HMS operation, with the potential over time for substantially increased mining and processing capacity, delivering sustained economic benefits to the region and significant long-term value for all stakeholders.

"Our partnership with SAI is fundamental to that ambition. This is not simply a funding relationship. Through SAI and its parent Xiamen Antai Zirconium, we have a partner with the capital, technical and processing expertise and established access to international markets necessary to help us realise the potential of 2A. Combining those capabilities with Kazera's asset gives us the opportunity to build something of genuine industrial scale.

"Receipt of the granting letter means that we can now progress the remaining steps towards execution of the Mining Right. Once formally executed, this will also represent an important milestone under our arrangements with SAI, with a further US$1.75 million becoming payable to WHM and SAI expanding its joint operations into 2A.

"The potential significance of that development extends well beyond Kazera and its shareholders. Mining has played an important role in the economy and communities of the Northern Cape for generations, and our ambition, together with SAI, is to develop a project of sufficient scale to make a meaningful difference to local communities and the wider Northern Cape through employment, local contractors and businesses, skills development and sustained economic activity for years to come.

"The grant of the 2A Mining Right is therefore not the end of a long journey. In many respects, it is the starting gun. We now have the opportunity, the partner and the platform to build something of genuine scale and significance, and I am enormously excited about what that could mean for the future of Kazera and the Northern Cape."

About Sea Concession 2A

2A is a Heavy Mineral Sands concession situated in the Northern Cape, South Africa and covers approximately 3,095 hectares.

The concession hosts a suite of commercially valuable heavy minerals, including ilmenite, garnet, zircon and rutile, and forms the cornerstone of Kazera's HMS strategy.

The Technical Report completed by Creo Geo Consulting (Pty) Ltd ("Creo") and published on 24 August 2026 established an Inferred Mineral Resource over an initial 42.86-hectare surf-zone Evaluation Area, representing just 1.42% of the 2A licence area.

Within this small initial Evaluation Area, an Inferred Mineral Resource of 6,651,065 tonnes of HMS at a grade of 20.04% Total Heavy Minerals ("THM"), equating to approximately 1,332,873 tonnes of contained THM and 1,312,920 tonnes of contained economic heavy minerals was reported.

The principal economic heavy minerals contained within the Mineral Resource comprise:

·      649,895 tonnes of garnet;

·      590,814 tonnes of ilmenite;

·      26,258 tonnes of zircon; and

·      19,694 tonnes of rutile.

The Technical Report notes that typical grades at operating HMS mines globally are in the range of 8% to 12% THM and that valuable heavy minerals typically comprise approximately 50% to 60% of the heavy mineral assemblage. By comparison, the Evaluation Area has a THM grade of 20.04% and approximately 98.5% of its THM assemblage comprises economic heavy minerals.

Creo calculated an indicative gross in-situ value of approximately US$369.3 million for the contained ilmenite, garnet, zircon and rutile within the Evaluation Area, comprising approximately:

·      US$174.3 million of ilmenite;

·      US$130.0 million of garnet;

·      US$39.4 million of zircon; and

·      US$25.6 million of rutile.

The US$369.3 million figure relates solely to the current Mineral Resource within the 1.42% Evaluation Area. It is an indicative gross in-situ value only and does not represent recoverable value, revenue, profit, net present value or an Ore Reserve.

No indicative in-situ value has been attributed to the remaining 98.58% of 2A at this time, which Creo has identified as a substantial Geological Target.

On the conservative basis set out in the Technical Report and based on extrapolation of the current Inferred Mineral Resource and the observed homogeneous nature of the deposit thus far, Creo considers that the wider 2A area has the potential to host an additional 265.2 million tonnes of HMS, with grades yet to be determined.

Mining Right Approval and Execution

The Mining Right application has been approved by the DMRE following consideration by REMDEC and WHM has received the formal granting letter.

The Mining Right relates to Sea Concession 2A in the Northern Cape, South Africa covering approximately 3,095 hectares and will, once executed, grant WHM the exclusive right to mine the minerals specified in the Mining Right, subject to its terms and the applicable provisions of the MPRDA and other relevant legislation.

The principal terms include:

Following receipt of the granting letter, WHM will now work with the DMRE's Northern Cape Regional Office to complete the documentation and administrative requirements necessary for execution of the Mining Right In particular, the Mining Right over 2A now requires only formal execution by WHM's authorised representatives, in the presence of a Public Notary and witness, and registration with the Mineral and Petroleum Titles Registration Office in Pretoria in accordance with the applicable statutory requirements, before Kazera and its partners can commence operations. The Company expects this process to be completed within the next few weeks.

Following execution, the Mining Right will be lodged for registration with the Mineral and Petroleum Titles Registration Office in Pretoria in accordance with the applicable statutory requirements.

The Company will update shareholders when execution of the Mining Right has taken place.

Strategic Significance

The approval of the Mining Right concludes a regulatory application process spanning several years and represents one of the most significant milestones achieved by Kazera since its admission to AIM.

During this period, the Company has invested substantial time and capital in advancing 2A through exploration, technical studies, environmental approvals, stakeholder engagement and the South African regulatory process. In parallel, Kazera has established the commercial, operational and funding framework required to support the development of its HMS business.

The significance of the approval extends considerably beyond the commencement of an initial mining operation. The Board believes the combination of the scale of the concession, the mineralisation identified in the recent Technical Report and the Company's strategic partnership with SAI creates the opportunity to develop 2A progressively into a substantial, long-life industrial HMS operation.

SAI and Xiamen Antai Zirconium bring funding capability, technical and processing expertise and access to established international markets. The Board believes that combining those capabilities with Kazera's mineral asset provides a credible route to developing 2A on a scale materially greater than would otherwise have been possible.

The Company's strategy is therefore to establish operations in a disciplined manner while retaining the ability to increase mining and processing capacity substantially as the resource base is further defined and the operation develops.

The Board also believes that development on the scale ultimately envisaged has the potential to generate meaningful and sustained benefits for local communities and the wider Northern Cape through employment, local procurement, skills development and broader economic activity.

Next Steps

Following receipt of the granting letter, the Company's immediate priority is to work with the Northern Cape Regional Office to satisfy the requirements for formal execution of the Mining Right as quickly as practicable.

As previously announced, Kazera has entered into strategic arrangements with SAI in relation to the funding, development and future production of its HMS business. Under those arrangements, US$1.75 million is payable to WHM upon the formal grant, approval and execution of the 2A Mining Right by the DMRE.

Accordingly, execution of the Mining Right will represent both the completion of an important regulatory step and a significant contractual milestone in the Company's partnership with SAI.

In parallel with completing the execution process, Kazera and SAI will continue the operational planning required for the initial development of 2A and the subsequent phased expansion of the HMS business, with the longer-term objective of developing substantially greater mining and processing capacity as the resource base is further defined.

The Company looks forward to updating shareholders as the Mining Right progresses through execution and registration, and as 2A advances through project development and operational mobilisation towards the commencement of mining activities and, ultimately, as Kazera and SAI seek to realise WHM's potential as a major, long-term industrial HMS operation.
