Issue of Equity-Mindflair PLC increase stake

Sure Ventures plc ("the Company") is pleased to announce that it has raised gross proceeds of  £ 300,000.50p by way of a private placing at 95p a share.  This represents the issue of 315,790 new ordinary shares.

Mindflair already holds 1,501,000 shares in the Company before this purchase and, on admission, its stake will rise to 1,816,790 shares or 23.76% thereby increasing its exposure to the first Sure Valley Ventures fund that is now closed and in its investment realisation phase.

The money will be used for further investments, follow-on investment in Sure Valley Ventures (ICAV), the Sure Valley Ventures UK Software technology fund and general working capital purposes.

Application has been made in respect of Ordinary Shares to be admitted to trading on the Specialist Funds Segment of the Main Market of London Stock Exchange plc ("Admission").  Admission will become effective and dealings in the Ordinary Shares will commence at 8:00 a.m. (London time) on and around the 8^th of August 2024.

Following Admission, the Company will have 7'643'252 Ordinary Shares in issue. The total number of voting rights of the Company will be 7'643'252. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.
