ISS and PIRC support the Whitbread Board advising investors to vote against the Corvex proposal
Whitbread PLC (‘Whitbread’) is pleased to note that leading independent proxy advisers ISS and PIRC have recommended that shareholders vote AGAINST the Corvex proposal to appoint a director to the Whitbread Board.
ISS and PIRC's recommendations reinforce the Board's view that Corvex's proposal is unnecessary and risks disrupting execution of Whitbread's Five-Year Plan at a time when the strategy is already delivering early results, as demonstrated by the Company's recent half-year results.
While Glass Lewis has recommended in favour of Corvex's proposal, Whitbread notes that Glass Lewis agreed with most of the Company's key arguments put forward. Whitbread continues to engage extensively with shareholders and is encouraged by the support it is receiving.
